WORKSHOP AGREEMENT
This agreement is entered into between Vivian Sprung (also known as VAIANVIL) (hereinafter referred to as "Vaianvil") and [Participant of the Portfolio Day] (hereinafter referred to as "Portfolio Day Participant").

1. Description of the Workshop
The Vaianvil Portfolio Day in Paris, France, will take place on May 25, 2024, at various locations in Paris. The Vaianvil Workshop includes two styled photo shoots with model couples. The workshop will commence on May 25, 2024, at approximately 3 p.m. and will end at 11 p.m., subject to last-minute changes. The workshop participant agrees to participate in a group portfolio day and therefore commits to having a cooperative and positive attitude during the styled photo shoots.

2. Fees
The early bird rate for the Vaianvil Portfolio Day in Paris is 899 euros. Once the early bird rate is sold out, the regular price of 999 euros applies. A down payment of 33%, or 1/3, secures your spot in the Portfolio Day. The remaining payment is due on April 1, 2024, before the Portfolio Day. This down payment secures your place in the workshop, and we will block other participants once the maximum number of participants is reached. Therefore, the reservation deposit of 1/3 is non-refundable. The down payment is to be made 14 days after signing this Portfolio Day agreement and will be credited towards the final Portfolio Day amount. The Portfolio Day participant acknowledges and agrees that the due amounts are to be paid on time. Should the Portfolio Day agreement be terminated by Vaianvil due to the participant's failure to provide timely notice (by April 1, 2024), all payments received up to that point shall remain with Vaianvil, and no refund shall be issued.

3. Conclusion of the Contract
3.1. A contract with Vaianvil is concluded upon receipt of the agreed down payment.
3.2. Each portfolio participant will receive an official confirmation of participation upon receipt of the payment.
3.3. Participation is binding and can only be declared null and void against a participation fee by agreement with Vaianvil.

4. Revocation and Termination
4.1 The participant may revoke and withdraw from the event within 2 weeks of booking the coaching/workshop. The revocation shall be made exclusively in writing to the following email address: hello@vaianvil.de. The revocation can be made informally with the subject "Revocation" stating the participant's name, address, and date of birth.
4.2 After the 2-week revocation period, the participant may withdraw from the event at any time; however, a replacement participant must be provided to receive a refund of the participation fee.
4.3 In the event of workshop cancellation by the participant, there is no entitlement to a refund of the participation fee.

5. Use of Images from the Portfolio Day
The Vaianvil Portfolio Day aims to provide beautiful images for the participants' portfolios. Participants may use the images taken during the Portfolio Day for their own social media, blogs, and websites, provided appropriate credit is given to the Portfolio Day team. This acknowledgment will be communicated to the participants before the start of the photo shoots, and participants are requested to copy/paste the exact acknowledgment to the team. When publishing on Instagram, participants must add the note Portfolio Day: @vaianvil. Participants are welcome to submit their images for publications, with the organizer @vaianvil and the Portfolio Day under @vaianvil being mentioned. However, the organizers of the Portfolio Day should have the opportunity to submit their images first for publication. In respect of other participants, for example, those who shoot analog, submissions should be delayed by at least 4 weeks after the Portfolio Day until June 22, 2024.

6. Liability Disclaimer
The Portfolio Day participant understands and agrees that they are participating in a Portfolio Day in another country. Vaianvil and its team members may have equipment at the Portfolio Day location. The Portfolio Day participant indemnifies Vaianvil for any damages, personal injuries, or losses caused by tripping or other injuries on-site at the Portfolio Day location. The independent contractor understands and agrees that Vaianvil is not responsible for the loss or damage of the Portfolio Day participant's equipment resulting from their travel to the Portfolio Day.

7. Force Majeure and COVID-19
In the event that the Portfolio Day is canceled or postponed due to travel restrictions associated with the COVID-19 pandemic, Vaianvil undertakes to promptly inform participants of any changes to the dates, location, or information regarding the Portfolio Day. All payments will be transferred to a new date and/or location. If Vaianvil or the Portfolio Day participant is unable to attend the Portfolio Day due to reasons such as earthquakes, fires, floods, pandemics, or other unforeseeable events or conditions beyond the reasonable control of the parties, the affected party will be relieved of its performance obligation upon notifying the other party, and any resulting failure or delay shall not be deemed a breach of contract. If the Portfolio Day participant contracts COVID-19 within 5 days before the Portfolio Day and cannot travel (and if this is still the CDC's recommendation), Vaianvil will do its best to assist them in finding a replacement participant for the Portfolio Day. A medical certificate is necessary for this purpose. If no new participant can be found to replace the original participant, Vaianvil will work with the participant to find another Portfolio Day to which the payment can be transferred. If none can be found acceptable to both parties, the Portfolio Day participant will receive a refund of 50% of the payments made. This policy is based on the exact number of participants required for the Portfolio Day to engage outstanding hotel, models, etc., and to conduct the Portfolio Day in a luxurious manner.

8. Confidentiality
The independent contracting party understands that all materials, price lists, contracts, financial documents, agreements, and other information or documents provided to them as part of the Portfolio Day are shared personally as symbols of trust, openness, and honesty by Vaianvil and the Portfolio Day team. The Portfolio Day participant agrees not to disclose this sensitive information to anyone outside of the Portfolio Day or to use this information to the detriment of the company, including circumventing or undercutting sales, reproducing Vaianvil's pricing policies, or reproducing and reselling Portfolio Day content and slides.

9. Meals
Participants must cover the costs of meals themselves.

10. Travel
The Portfolio Day participant must provide their own flights and transportation to the location of the Portfolio Day in Paris, France. If staying outside the location, we recommend booking accommodations near our hotel.

11. Minimum Number of Participants and Cancellation
The Portfolio Day will only take place if at least 4 participants register. If this minimum number of participants is not reached, Vaianvil reserves the right to cancel or postpone the Portfolio Day because the booking volume for this event is so low that the resulting costs relative to this event would exceed the economic sacrifice threshold. In this case, any payments made will be fully refunded. Vaianvil will inform registered participants as soon as possible about any potential cancellation or postponement. In the event of an unforeseen event or tragedy, Vaianvil will inform the Portfolio Day participant as soon as possible of any cancellation or postponement of the Portfolio Day. If Vaianvil cancels the Portfolio Day for personal reasons, the Portfolio Day participant will receive a full refund.

12. Non-Disparagement
Vaianvil and the Portfolio Day participant agree to make reasonable and honest efforts at all times during this agreement to ensure that neither party engages in defamation of the other, and they will refrain from making false, negative, critical, or derogatory statements, whether written or oral, about the other party. The parties further agree not to do anything that would harm the reputation or standing of the other. Unless nothing in this agreement prohibits the disclosure of information that must be made in accordance with applicable laws or regulations or upon order of a court or other regulatory authority with jurisdiction.

13. Entire Agreement
This is a binding agreement that incorporates the entire understanding of the parties, supersedes all other written or oral agreements between Vaianvil and the Portfolio Day participant. Amendments must be made in writing, signed by both parties, and attached to the original agreement.

14. Jurisdiction and Venue
14.1. This contract is governed by the laws of the Federal Republic of Germany.
14.2. The Portfolio Day participant assumes responsibility for all collection costs and attorney fees that may be incurred by the participant should enforcement of this agreement become necessary.
14.3. These Terms and Conditions are effective as of January 27, 2024.

15. Severability Clause
If any part of this agreement is found to be invalid or unenforceable, the remainder of this agreement shall remain valid and enforceable. Failure by one or both parties to enforce any provision of this agreement does not constitute a waiver of any other provision or of this agreement in its entirety.

16. Consent
I have read, understood, and agree to the terms of this agreement.
